2. Services Provided

ManagedWay offers various hosting solutions including virtual data centers, managed infrastructure, and managed servers. We provide proactive monitoring, white-glove support, and high-availability systems. Our services are designed to meet the needs of diverse industries, including government, healthcare, and publicly traded companies.

3. Account Requirements

  • Eligibility: You must be at least 18 years old to use our services.
  • Account Security: You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
  • Accurate Information: You agree to provide accurate and up-to-date information for your account and to keep this information current.

4. Use of Services

  • Compliance: You agree to use our services in compliance with all applicable laws and regulations.
  • Prohibited Activities: You are prohibited from using our services for illegal activities, spamming, distributing malware, or any activities that harm our infrastructure or reputation.
  • Resource Usage: Excessive usage may result in slowed or restricted services. You agree to use resources within the limits specified in your plan.

5. Data and Privacy

  • Data Ownership: You retain ownership of your data. ManagedWay does not claim any ownership rights over your content.
  • Data Security: We implement industry-standard measures to protect your data. However, you acknowledge that no security measures are perfect or impenetrable. You are responsible for ensuring that your data is kept in a manner suitable for your business, your industry, and your needs.
  • Backup Services: Backup space is provided as a separate off-system storage pool. You are responsible for ensuring data integrity and suitability for your business needs and if any other measures are required for your disaster planning.

6. Billing and Payment

  • Refund Policy: All payments are non-refundable.
  • Billing Cycle: Services are billed on a monthly basis unless otherwise agreed.
  • Payment Methods: We accept various payment methods as specified on our website.
  • Late Payments: Late payments will incur a 2% fee after 5 days, a 10% disconnection fee, and service disconnection after 10 days of non-payment.

7. Service Uptime and Support

  • Uptime Guarantee: ManagedWay is committed to delivering 100% uptime for our services. In the rare event of downtime, we offer service credits to our customers. For each minute of downtime, a credit will be applied from the moment you report the issue to our support team until the service is fully restored. To claim this service credit, you must report the issue and request the credit through our customer service portal. Please note that the total amount of credits granted will not exceed your monthly service cost.
  • Support Services: Our white-glove support includes proactive monitoring, troubleshooting, and assistance with server management and applications.

8. Termination

  • Termination by You: You may terminate your account at any time by contacting us. Termination will take effect at the end of the current billing cycle.
  • Termination by Us: We may terminate your account for violations of these ToS or other applicable policies. We will provide notice of termination when feasible.

9. Changes to Terms

ManagedWay reserves the right to modify these ToS at any time. We will notify you of significant changes by email or through our website. Continued use of our services after such changes constitutes your acceptance of the new terms.

10. Limitation of Liability

To the maximum extent permitted by law, ManagedWay shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services.

11. Governing Law

These ToS are governed by and construed in accordance with the laws of Oakland County, Michigan. The venue for any disputes shall be in the state of Michigan.
